In sum, this can be reduced to
three simple characteristics boards
and CEOs can emphasize to create
the foundation of a productive
working relationship: common
sense, fortitude and discipline.
Common Sense
CEOs must have the common sense
to present options and clearly articulate recommendations; in turn, the
board must have the common sense
to evaluate those recommendations
with a critical eye.
Fortitude
The CEO and board must have the
fortitude to stay with an issue until a
satisfactory resolution has been
achieved. This requires the CEO to
prepare thoroughly, present facts where

they are available and identify the basis
for assumptions and forecasts. And it
means the board has to listen carefully, set aside individual biases and
rely on management’s informed judgment in a world full of uncertainty. If
the board and/or CEO wait until all
the risk has been squeezed out of a
strategic decision, it will usually be too
late. To avoid paralysis by analysis there
is a proper time to make a decision
and take action, but neither party
should do so until convinced the
organization is on the right path
based on available facts and reasoned
projections about the future.
Discipline

discipline to do the right thing, and
