it need to be smaller and/or composed of a different skill mix
(e.g., an actuary, an IT expert, a
performance improvement
expert, a physician from outside
the service area)? How might this
help the CEO and board perform
at a higher level? Is the practice
of ex officio appointments beneficial to the board? To the CEO/
management?
2. What is the best use of board
time? How often and for how
long does it need to meet in
order to participate in strategy
formulation, determine policies
and oversee operations? What
do the board and CEO require
from one another to ensure productive use of limited time?

3. How do both parties cooperate
so the board has enough information for appropriate operational oversight without delving
into operations? Would a board
scorecard (distinct from a management scorecard) help? What
indicators would it contain? Who
(board, CEO or both) would
determine this and on what
basis? Should less time be spent
on finance and more on quality?

If a CEO and board want to create
a high-performing culture, one way
to begin is embracing Margaret
Mead’s admonition: “never doubt
that a small group of thoughtful,
concerned citizens can change the
world. Indeed it is the only thing
that ever has.”

4. What is the role of the executive committee? Does the board
rely on this committee to do its
work between meetings or does
the CEO need a “sounding
board”? Does this committee’s
role need to be reassessed and/
or updated?
